Welcome to Breadcoins.com ("we," "us," or "our") on Shopify. These Terms and Conditions ("Terms") govern your use of our Content and Intellectual Property (the "Site") and your purchase of any products or services offered through the Site. Please read these Terms carefully before using the Site or placing an order. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Acceptance of Terms

By accessing the Site, creating an account, or placing an order, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding contract, and agree to these Terms and our Privacy Policy. We reserve the right to update these Terms at any time. We will post the revised Terms on the Site with an updated effective date. Your continued use of the Site after any change constitutes your acceptance of the new Terms.

2. Products and Descriptions

Breadcoins.com offers a curated marketplace of products including, but not limited to, precious metals, housewares, gardening supplies, baking equipment, and related goods (collectively, "Products"). We take reasonable care to describe our Products accurately. However, we do not warrant that Product descriptions, pricing, photographs, or other content on the Site are error-free, complete, or current. We reserve the right to correct any errors or update information at any time without prior notice.

2.1 Coins Disclaimer

Precious metals including coins, bullion, and proof coins carry inherent market risk. Past investment performance is not indicative of future results. Prices fluctuate based on spot market values, and the value of precious metals may decrease. Nothing on this Site constitutes investment, financial, or tax advice. You should consult a qualified financial advisor before making investment decisions.

Orders for coins and precious metals products are not valid until accepted by Breadcoins.com. We reserve the right to limit quantities, decline any order, or discontinue accepting orders at any time without notice. We reserve the right to accept or reject coin orders in any combination or configuration we determine to be in our best interest. If a particular product or option is sold out, we reserve the right to either process partial orders and issue refunds for unavailable items, or return the order in its entirety.

3. Orders and Payment

When you place an order through the Site, you make an offer to purchase the selected Products at the listed price. We reserve the right to accept or decline any order at our sole discretion. An order confirmation email does not constitute acceptance; acceptance occurs when we send you a confirmation email and ship your order or otherwise fulfill it.

We accept payment via the methods displayed at checkout. All prices are listed in U.S. dollars. Coin purchases require cleared payments before shipping. You agree to provide accurate and complete billing information. By submitting payment, you authorize us to charge the full order amount to your selected payment method. We use industry-standard encryption and third-party payment processors; we do not store your full payment card information on our servers.

We reserve the right to cancel orders in the event of pricing errors, payment failure, suspected fraud, or inventory unavailability. If we cancel an order after payment has been received, we will issue a full refund using the original payment method within five to seven business days.

4. Pricing and Taxes

Product prices are subject to change without notice. Prices displayed at the time you complete checkout are the prices you will pay, subject to correction of clear errors. Sales tax, use tax, or other applicable taxes will be calculated and added at checkout based on your shipping address and applicable law. You are solely responsible for any applicable duties, tariffs, or import fees for international shipments.

5. Shipping and Delivery

We ship to addresses within the United States and to select international destinations. Shipping rates and estimated delivery times are displayed at checkout and are subject to change without notice. Delivery estimates are not guaranteed. We are not responsible for delays caused by carriers, customs, weather, or other factors outside our control.

Breadcoins.com selects from a number of carriers to deliver your package regardless of the shipping method you select at checkout. Title and risk of loss transfer to you upon delivery to the carrier. Issues arising from delivery — including lost, delayed, or damaged shipments; must be resolved directly with the shipping carrier. Breadcoins.com is not liable for carrier errors or failures after your order leaves our facility.

For orders over $600, we require a signature upon delivery. For orders under $600, you may request signature-required delivery during checkout for an additional fee. Because signature confirmation is a carrier-provided service, we cannot guarantee that the carrier will collect a physical signature in every case, and signature fees are non-refundable regardless of whether a signature is collected.

Breadcoins.com ships packages without insurance unless explicitly stated on the product listing. You assume all risk of loss or damage once the package is in the carrier's possession. If your order arrives damaged, contact us at about@breadcoins.com within 48 hours of delivery with photographs and your order number, and we will assist you in filing a carrier claim as a courtesy.

6. Returns, Refunds, and Cancellations

6.1 General Merchandise

You may return most Products in new, unused, and undamaged condition within 14 days of delivery for a full refund of the purchase price, less original shipping charges. To initiate a return, contact us at about@breadcoins.com with your order number and reason for return. You are responsible for return shipping costs unless the item was defective or we made an error. Refunds are processed within five to seven business days of our receipt and inspection of the returned item.

6.2 Coins and Precious Metals

Returns of coins and precious metals products are accepted at our sole discretion. To request a return, contact us at about@breadcoins.com within 14 days of delivery with your order number, the reason for return, and photographs of the item and packaging. All return requests are subject to review and acceptance by Breadcoins.com. We reserve the right to decline any return request that does not meet our condition standards or that we determine is not in our best interest.

Accepted returns must be shipped back in original, undamaged condition with all original packaging and documentation. Return shipping costs are the responsibility of the buyer. Refunds for accepted returns are issued after we receive and inspect the returned item, less any original shipping charges. We will notify you by email whether your return has been accepted or declined within five business days of receipt.

We are not responsible for items lost or damaged during return shipment. We strongly recommend using a trackable, insured shipping method for all coin and precious metals returns.

6.3 Order Cancellations

You may request cancellation of an order before it ships by contacting us immediately at legal@breadcoins.com. Cancellation requests are subject to acceptance by Breadcoins.com and are not guaranteed. Once an order has shipped, standard return procedures apply. We reserve the right to cancel any order at our discretion prior to shipment and will issue a full refund in such cases.

7. Intellectual Property

All content on the Site, including text, articles, graphics, logos, images, product descriptions, and educational materials, is the property of Breadcoins.com LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. The "Breadcoins" name and logo are trademarks of Breadcoins.com LLC.

You may access and use Site content for your personal, non-commercial use only. You may not reproduce, distribute, modify, publicly display, or create derivative works from any Site content without our prior written permission. 8. User Conduct

When using the Site, you agree that you will not:

  • Violate any applicable law, regulation, or these Terms

  • Use the Site for any fraudulent or deceptive purpose

  • Attempt to gain unauthorized access to our systems or data

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Breadcoins.com LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Breadcoins.com LLC and its members, managers, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit or transmit through the Site.

13. Third-Party Links and Services

The Site may contain links to third-party websites, services, or content. These links are provided for convenience only. We do not endorse, control, or assume responsibility for any third-party content or services. Your interactions with third-party sites are subject to their terms and privacy policies. We are not responsible for any loss or damage arising from your use of third-party resources.

Our Site is hosted on Shopify. Your use of the Site is also subject to Shopify's applicable terms of service. We use third-party payment processors, and their terms and privacy policies also apply to payment transactions.

14. Dispute Resolution and Arbitration

We encourage you to contact us first at legal@breadcoins.com if you have a concern. Most issues can be resolved quickly and informally.

If we cannot resolve a dispute informally, you and Breadcoins.com LLC agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Site (a "Dispute") through binding arbitration, except as noted below. Arbitration will be conducted by a recognized arbitration organization under its applicable rules. The arbitration will take place in California, or by telephone or video conference. Each party will bear its own costs and fees unless the arbitrator finds the claim frivolous.

YOU AND Breadcoins.com LLC EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN CLASS ACTION LITIGATION. YOU MAY ONLY BRING CLAIMS IN YOUR INDIVIDUAL CAPACITY.

Notwithstanding the above, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Small claims court actions remain available to both parties where applicable.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. Subject to the arbitration agreement above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California for any matters not subject to arbitration.

16. Compliance with California Law

As a California-based business, we comply with applicable California consumer protection laws, including the California Consumer Privacy Act (CCPA). California residents have specific rights regarding their personal information, which are described in our Privacy Policy. 17. Force Majeure

We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, pandemics, government actions, labor disputes, supply chain disruptions, power outages, or internet failures. In such circumstances, our obligations are suspended for the duration of the force majeure event.

18. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Breadcoins.com LLC regarding your use of the Site and supersede all prior agreements, understandings, and representations.
